Sales and Service Contract

Auto Security and Monitoring Inc. (“ASM”) is the sole owner of the technology and equipment and provide its customer (“Customer”) vehicle monitoring and security service. In subscribing to ASM’s service, Customer hereby agrees to abide by the following terms and conditions:

Service Provided and Service Fees: ASM is to provide Customer with 24-hour vehicle monitoring and tracking service including the past one day up to 90 days track record of the vehicle traveling routes and parking places.

Customer Information Update: It is Customer’s responsibility to provide ASM with updated contact information. If ASM is unable to contact Customer due to a change in Customer’s phone number or address, ASM has the right to terminate this agreement while reserving its right to collect the past due fees from Customer. ASM will make reasonable efforts to locate you at your last known address. If we are unable to reach you despite reasonable efforts, termination of this agreement will be made without the need of Customer’s consent.

Term and Early Termination: The term for this agreement is for one year or _____ years. An early termination fee will apply for any termination prior to the expiration of this agreement. An early termination fee of $______________ will apply for early termination of the one –year plan. An early termination fee of $ will apply for early termination of year plan. Customer may voluntarily choose to leave the plan prior to expiration, or ASM may terminate Customer for cause. Either way will be considered early termination and the early termination fee will apply. (Customer initial here).

Damage Limitation: In the event that any damage or loss occurs to the equipment in the vehicle that affects ASM’s service, Customer shall be responsible for the repair costs or repurchase costs. Under no event, shall ASM be liable for any damages including consequential or special damage that may occur to Customer.

Privacy: Customer should be aware that once the equipment is installed in the vehicle, it may affect Customer’s privacy.

Force Majeure: ASM may terminate its service due to unforeseeable events beyond its control, which include but not limited to civil riot, war, natural disaster, closure of satellite by governmental actions, suspension of wireless service by wireless provider, internet service breakdown, etc.

Arbitration: If any disputes arise from the interpretation or performance of this agreement, such disputes shall be submitted to the American Arbitration Association at Los Angeles for binding and final arbitration. The prevailing party shall be entitled to recover the costs and attorneys’ fees of arbitration from losing party.

Governing Law: The laws of the State of California shall govern this agreement.

Acknowledgement: By signing below, Customer hereby acknowledges that Customer has read the above or has had someone explain the above to Customer and understands the above terms and conditions.
